Job Responsibilities:
Provide secretarial support, including drafting legal documents, conducting legal research, and calendar and mail management.
Form new corporations, and prepare company documents like AOI and By-Laws.
Prepare project documents like Sales Documents (LOI, purchase agreement, Deeds of Sale, Deeds of Assignment; term sheet, etc.);
Prepare Joint Venture Agreements or Management Agreements;
Filing of minutes, drafting and submitting disclosure documents to SEC and PSE
Prepare Subscription Agreements, Deeds of Assignment, Trust Agreements, and other contracts and documents:
Coordinate, deal, and transact with Government Offices (SEC, PSE, LGU, Officials, and Others);
Giving legal advice on foregoing matters
Dealing with involved external service providers and government agencies, offices, and public sector participants.
Perform other work or assistance as may be assigned from time to time by the management.
Job Requirements:
Must be a Certified Bar Passer. With at least 2 years of relevant experience in Corporate Law.
Candidates who have worked in acquisition and merge practice are a plus.
Excellent Knowledge and understanding of Corporate law and Procedures, SEC and PSE regulation and rules, foreign investment law, Antitrust law, Real estate law, etc.
High Degree of professional ethics and integrity.
Must have the ability to think analytically and must always be precise and careful
Well-versed in MS Word, PowerPoint, and Excel
Has excellent English communication skills
Willing to work full-time on-site in BGC, Taguig
